WEBSITE TERMS OF USE & CONDITIONS OF SALE

Welcome to Coral ("Coral", "we", "our" or "us").

These Website Terms of Use & Conditions of Sale ("Terms") govern your access to and use of our website, your purchase of products and services from us, and any dealings you have with Coral.

By accessing our website, creating an account, requesting a quotation, placing an order, uploading artwork, or otherwise dealing with Coral, you agree to be bound by these Terms together with our Privacy Policy, Returns & Refund Policy and any other policies published on our website.

If you do not agree with these Terms, you must discontinue using our website and Services.

These Terms apply to all visitors, customers, trade account holders, wholesalers, distributors, contractors, businesses and any other person who accesses our website or purchases products or services from Coral.

1. Definitions

Unless the context otherwise requires:

ACL means the Australian Consumer Law contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Business Day means a day other than a Saturday, Sunday or public holiday in New South Wales.

Customer, you and your means any person, company, trust, partnership, government body or other legal entity using our website or purchasing products or services from Coral.

Custom Product means any product manufactured, printed, modified, assembled, branded, personalised, cut, engraved, embroidered or otherwise produced specifically for a customer.

Goods means all products supplied by Coral.

Order means any purchase order, quotation acceptance, online order, email confirmation or other request for Goods or Services.

Services includes our website, quotations, product advice, artwork preparation, graphic design, proofing, consulting, manufacturing services and any other services provided by Coral.

Website means every website owned or operated by Coral, including future websites operated by us.

2. Eligibility

By using our Website you warrant that:

  • you are at least 18 years of age;
  • you have the legal capacity to enter into binding contracts;
  • where acting on behalf of a business, company or organisation, you have authority to bind that entity;
  • all information you provide is true, accurate and complete; and
  • you will promptly update any information that changes.

If we believe information supplied is inaccurate, misleading or incomplete, we may suspend or terminate your account or refuse any order.

3. Business Customers

Coral primarily supplies products to commercial customers, businesses, educational institutions, government organisations, theatres, entertainment venues, manufacturers, resellers and wholesalers.

Nothing in these Terms excludes any rights that cannot lawfully be excluded under the Australian Consumer Law.

Where the Australian Consumer Law does not apply, these Terms govern the supply of Goods and Services.

4. Website Use

You are granted a limited, non-exclusive, revocable licence to access and use our Website for lawful purposes.

You must not:

  • copy our website;
  • reproduce product descriptions;
  • download product databases;
  • scrape pricing;
  • harvest customer information;
  • interfere with website security;
  • attempt unauthorised access;
  • upload malicious software;
  • reverse engineer any part of the Website;
  • use automated software to overload our systems;
  • use our Website in any unlawful manner.

We may suspend access at any time without notice where we reasonably believe our systems or customers are at risk.

5. Customer Accounts

Where you create an account, you are responsible for:

  • maintaining confidentiality of your login details;
  • all activity undertaken using your account;
  • ensuring your information remains current;
  • notifying us immediately of any unauthorised access.

We may suspend or terminate accounts at our discretion where we reasonably believe these Terms have been breached.

6. Product Information

We make reasonable efforts to ensure all product descriptions, specifications, pricing, colours, images and availability are accurate.

However:

  • colours displayed on screens vary;
  • printed colours naturally vary;
  • product dimensions may include manufacturing tolerances;
  • weights are approximate;
  • packaging may change;
  • suppliers may alter specifications without notice.

Images are illustrative only and may differ from the supplied product.

Product improvements or specification changes may occur without notice.

7. Quotations

Unless otherwise stated:

  • quotations remain valid for 30 days;
  • quotations are subject to stock availability;
  • quotations may be withdrawn at any time before acceptance;
  • freight, duties, taxes and insurance may be additional;
  • pricing errors may be corrected at any time.

Acceptance of a quotation constitutes acceptance of these Terms.

8. Orders

Submission of an order constitutes an offer to purchase.

No order becomes binding until Coral accepts the order.

We reserve the right to:

  • decline any order;
  • refuse service;
  • cancel orders;
  • limit quantities;
  • require deposits;
  • request identity verification;
  • amend pricing where genuine errors have occurred before dispatch.

Where payment has already been made, any cancelled order will be refunded in full unless otherwise agreed.

9. Custom Manufactured Products

Many Coral products are manufactured specifically for each customer.

For Custom Products:

  • production begins only after approval;
  • approved artwork is deemed final;
  • the customer is responsible for all spelling, layout, measurements and design approvals;
  • Coral is not responsible for errors contained within approved artwork;
  • manufacturing tolerances are accepted throughout the industry;
  • colours may vary between production runs;
  • printed colours may differ from screen colours;
  • exact Pantone matching cannot always be guaranteed unless expressly agreed in writing.

Once production has commenced, orders generally cannot be cancelled.

10. Customer Artwork

Where you provide artwork, logos, designs, trademarks, images, documents or other materials, you warrant that:

  • you own the intellectual property or have authority to use it;
  • our use of the material will not infringe any third-party rights;
  • the material does not breach any law.

You grant Coral a perpetual, worldwide, royalty-free, non-exclusive licence to reproduce, modify, resize, convert, store, transmit, archive and otherwise use the material for purposes including:

  • preparing artwork;
  • generating proofs;
  • manufacturing products;
  • quality assurance;
  • warranty support;
  • order fulfilment;
  • internal staff training;
  • automated production systems;
  • AI-assisted artwork processing;
  • machine learning systems used internally by Coral;
  • future technologies performing similar business functions.

Ownership of your intellectual property remains with you.

11. Pricing

Unless otherwise agreed in writing:

  • all prices are shown in Australian Dollars (AUD);
  • GST is included or excluded as indicated on the relevant quotation, invoice or product page;
  • freight, insurance, customs duties and other government charges are additional unless expressly stated;
  • prices may change at any time without notice.

Although we take reasonable care to ensure pricing is accurate, genuine pricing errors may occur.

If a pricing error is identified before dispatch, Coral may:

  • cancel the Order;
  • amend the pricing;
  • offer the Customer the option to proceed at the correct price.

If payment has already been received, any amount paid will be refunded in full if the Order is cancelled.

Publication of pricing does not constitute a binding offer.

12. Payment Terms

Unless otherwise agreed in writing:

  • payment is required before dispatch;
  • deposits may be required for custom manufactured products;
  • production may not commence until the required deposit has cleared;
  • final payment must be received before Goods are released.

Trade account holders must pay invoices in accordance with their approved trading terms.

Failure to comply with agreed payment terms may result in:

  • suspension of future Orders;
  • cancellation of outstanding Orders;
  • withdrawal of credit facilities;
  • immediate payment becoming due for all outstanding invoices.

13. Trade Accounts

Approval of a Trade Account is entirely at Coral's discretion.

We may:

  • refuse an application;
  • suspend a Trade Account;
  • reduce credit limits;
  • require payment in advance;
  • revoke trading terms,

at any time without providing a reason.

Granting a Trade Account does not create any obligation for Coral to continue supplying Goods on credit.

14. Overdue Accounts

If payment is not received by the due date, Coral may, to the maximum extent permitted by law:

  • suspend deliveries;
  • refuse future Orders;
  • cancel outstanding quotations;
  • recover all reasonable debt recovery costs;
  • recover legal costs on a full indemnity basis;
  • offset monies owing by Coral against amounts owed to Coral;
  • charge reasonable interest on overdue commercial accounts where agreed or permitted by law.

The Customer remains liable for all costs incurred recovering outstanding debts.

15. Retention of Title

Legal and beneficial ownership of all Goods supplied by Coral remains with Coral until all monies owing by the Customer have been paid in full.

Until ownership passes:

  • the Customer holds the Goods as bailee for Coral;
  • Goods must remain readily identifiable;
  • Goods must not be pledged as security;
  • Coral may require immediate return of unpaid Goods.

Where Goods have been incorporated into another product before ownership passes, Coral retains all rights available at law to recover amounts owing.

If payment defaults, Coral may enter any premises where Goods are reasonably believed to be located to recover them, to the extent permitted by law.

Nothing in this clause limits any other legal remedy available to Coral.

16. Freight and Delivery

Delivery dates provided by Coral are estimates only.

Coral is not liable for delays caused by:

  • manufacturers;
  • freight companies;
  • customs;
  • ports;
  • industrial action;
  • shortages;
  • weather events;
  • pandemics;
  • government actions;
  • events beyond our reasonable control.

Unless otherwise agreed in writing, risk in the Goods passes to the Customer immediately upon delivery to the freight carrier or collection by the Customer.

Title passes only in accordance with Section 15.

Customers should inspect all Goods immediately upon receipt.

17. Freight Damage and Incorrect Deliveries

Customers must inspect Goods as soon as reasonably practicable after delivery.

Any claim relating to:

  • freight damage;
  • shortages;
  • incorrect Goods;
  • visibly damaged packaging,

must be reported to Coral within seven (7) days of delivery.

Coral may request photographs, freight documentation or return of the Goods before determining the appropriate remedy.

Failure to notify Coral within a reasonable period may affect our ability to investigate the claim.

18. Availability

Product availability displayed on our Website is provided for convenience only.

Inventory levels:

  • may change without notice;
  • are not guaranteed;
  • may be affected by simultaneous purchases;
  • may differ from physical stock.

Coral reserves the right to allocate available stock between customers at its discretion.

19. Supplier Changes

Many products supplied by Coral are manufactured by third parties.

Manufacturers may:

  • discontinue products;
  • alter specifications;
  • modify colours;
  • change packaging;
  • replace raw materials;
  • alter dimensions.

Coral is not responsible for manufacturer changes beyond our reasonable control.

Where practical, we may supply an equivalent replacement after consultation with the Customer.

20. International Orders

Customers are responsible for ensuring Goods comply with the laws of their destination country.

Unless otherwise agreed:

  • customs duties;
  • import taxes;
  • brokerage charges;
  • quarantine fees;
  • local compliance requirements,

remain the responsibility of the Customer.

Coral makes no warranty that Goods comply with laws outside Australia.

21. Export Controls

Customers must not export, re-export or supply Goods where prohibited by applicable Australian or international laws.

The Customer is solely responsible for obtaining any permits, approvals or licences required for export.

22. Australian Consumer Law

Nothing contained in these Terms excludes, restricts or modifies any rights or remedies which cannot lawfully be excluded under the Australian Consumer Law.

Where Goods are supplied to consumers under the Australian Consumer Law, statutory guarantees apply.

Where Goods are acquired for business purposes and the Australian Consumer Law permits limitations of liability, Coral's liability is limited, at Coral's option, to:

  • repairing the Goods;
  • replacing the Goods;
  • supplying equivalent Goods;
  • paying the cost of repair;
  • paying the cost of replacement; or
  • refunding the purchase price.

To the maximum extent permitted by law, all other warranties, representations and guarantees are excluded.

23. Returns and Refunds

Returns are governed by Coral's Returns & Refund Policy as published on our Website.

Customers acknowledge that:

  • custom manufactured Goods are generally non-returnable;
  • change-of-mind returns are accepted only at Coral's discretion;
  • returned Goods must comply with our Returns Policy;
  • Australian Consumer Law rights are unaffected.

No Goods may be returned without Coral's prior approval.

24. Product Warranties

Unless expressly stated otherwise in writing:

  • manufacturer warranties apply where provided by the manufacturer;
  • Coral does not provide additional warranties beyond those required by law.

Customers must follow all installation, storage, maintenance and usage instructions.

Warranty claims may be refused where damage results from:

  • misuse;
  • incorrect installation;
  • modification;
  • abuse;
  • neglect;
  • accidental damage;
  • normal wear and tear;
  • use outside manufacturer recommendations.

25. Privacy and Personal Information

Coral collects, stores, uses and discloses personal information in accordance with our Privacy Policy and applicable Australian privacy laws.

By accessing our Website, creating an account, requesting a quotation, placing an Order or otherwise dealing with Coral, you acknowledge and consent to the collection, use, storage and disclosure of your information as described in these Terms and our Privacy Policy.

Without limitation, Coral may collect information including:

  • names;
  • business names;
  • contact details;
  • delivery addresses;
  • billing information;
  • payment information;
  • purchase history;
  • enquiry history;
  • uploaded artwork;
  • technical specifications;
  • communications;
  • website usage information;
  • cookies and analytics data;
  • IP addresses;
  • browser and device information; and
  • any other information reasonably required to provide our Goods and Services.

26. Data Use

You acknowledge and agree that Coral may use information collected through our Website and business operations for legitimate business purposes including:

  • fulfilling Orders;
  • providing customer support;
  • preparing quotations;
  • processing payments;
  • fraud prevention;
  • verifying identity;
  • inventory management;
  • purchasing forecasts;
  • supplier management;
  • warranty administration;
  • accounting;
  • taxation;
  • regulatory compliance;
  • internal reporting;
  • business intelligence;
  • product development;
  • workflow optimisation;
  • customer relationship management;
  • marketing (where permitted by law); and
  • improving our Goods and Services.

Coral may retain records for as long as reasonably necessary to operate our business, comply with legal obligations, resolve disputes and enforce our legal rights.

27. Artificial Intelligence and Automated Systems

Coral continually invests in technology to improve customer service and business efficiency.

Accordingly, you acknowledge and agree that information provided to Coral may be processed by artificial intelligence, machine learning systems, automated decision-support systems and similar technologies operated by Coral or trusted third-party service providers.

These technologies may be used for purposes including:

  • preparing quotations;
  • generating product recommendations;
  • analysing artwork;
  • preparing proofs;
  • document generation;
  • customer support;
  • search functions;
  • inventory forecasting;
  • purchasing analysis;
  • pricing analysis;
  • workflow automation;
  • fraud detection;
  • knowledge management;
  • quality assurance;
  • reporting;
  • internal business analytics;
  • product development;
  • improving Coral's internal AI systems;
  • training machine learning models for Coral's internal business operations; and
  • future technologies performing substantially similar functions.

Where practical, Coral may aggregate, anonymise or de-identify information before using it for research, analytics or AI improvement.

Nothing in this clause transfers ownership of Customer intellectual property to Coral.

28. Customer Communications

You acknowledge that communications with Coral, including emails, enquiries, support requests, live chats, telephone conversations (where lawful), uploaded documents and correspondence, may be recorded, stored, indexed, analysed and processed for purposes including:

  • customer service;
  • staff training;
  • quality assurance;
  • internal knowledge management;
  • AI-assisted support;
  • dispute resolution;
  • fraud prevention; and
  • improving our business systems.

29. Cookies and Analytics

Our Website may use:

  • cookies;
  • pixels;
  • analytics software;
  • session technologies;
  • tracking technologies; and
  • similar services

to improve user experience, analyse Website performance, measure advertising effectiveness, personalise content and improve our Services.

Users may disable cookies through their browser settings, although some Website functionality may be affected.

30. Marketing Communications

Where permitted by law, Coral may send customers:

  • product updates;
  • promotional offers;
  • newsletters;
  • educational content;
  • service announcements;
  • event invitations; and
  • other business communications.

Customers may unsubscribe from marketing communications at any time using the unsubscribe facility contained within those communications.

Operational communications relating to Orders, warranties, invoices or customer support may continue where reasonably necessary.

31. Intellectual Property

Unless otherwise stated, all intellectual property appearing on the Website remains the exclusive property of Coral or its licensors.

This includes, without limitation:

  • trademarks;
  • logos;
  • product names;
  • graphics;
  • photographs;
  • videos;
  • product descriptions;
  • pricing structures;
  • databases;
  • software;
  • source code;
  • website design;
  • layouts;
  • downloadable material;
  • technical documentation; and
  • all other content.

Nothing in these Terms transfers ownership of Coral's intellectual property.

32. Website Content

Customers must not without prior written permission:

  • reproduce;
  • copy;
  • publish;
  • scrape;
  • download;
  • modify;
  • distribute;
  • commercially exploit;
  • create derivative works from; or
  • use for competing purposes

any material contained on our Website.

Normal downloading for personal business purchasing purposes is permitted.

33. Customer Content

Customers retain ownership of artwork, logos and other intellectual property supplied to Coral.

However, by supplying such material, the Customer grants Coral a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free licence to:

  • reproduce;
  • store;
  • copy;
  • modify;
  • resize;
  • convert file formats;
  • archive;
  • transmit;
  • prepare production files;
  • prepare proofs;
  • manufacture products;
  • conduct quality assurance;
  • fulfil Orders;
  • provide customer support;
  • maintain historical production records;
  • use automated production software;
  • use AI-assisted artwork systems;
  • use machine learning technologies;
  • improve production workflows; and
  • perform any activity reasonably connected with Coral's business.

This licence continues after completion of the Order.

Ownership of the underlying intellectual property remains with the Customer.

34. Portfolio Rights

Unless otherwise agreed in writing or subject to confidentiality obligations, Coral may photograph, reproduce and display completed products, artwork mock-ups and finished work for purposes including:

  • marketing;
  • advertising;
  • social media;
  • portfolios;
  • exhibitions;
  • award submissions;
  • case studies; and
  • demonstrating manufacturing capability.

Where confidential or embargoed projects are involved, Coral will use reasonable endeavours to respect customer confidentiality requests.

35. Confidential Information

Both parties agree to use reasonable care to protect confidential information received from the other.

This obligation does not apply where information:

  • becomes publicly available;
  • is independently developed;
  • is lawfully obtained from another source;
  • is required to be disclosed by law; or
  • is disclosed with consent.

36. Website Availability

Coral does not guarantee uninterrupted access to the Website.

Maintenance, upgrades, technical failures, cyber security incidents, internet outages or third-party service failures may temporarily affect availability.

Coral may suspend access without notice where necessary to protect the Website or its users.

37. Third-Party Services

Our Website may integrate with services provided by third parties including payment gateways, freight providers, marketing platforms, cloud providers, analytics services and AI platforms.

Coral is not responsible for services supplied by independent third parties.

Use of third-party services remains subject to their own terms and privacy policies.

38. Feedback

Any suggestions, recommendations, ideas or feedback provided to Coral may be used without restriction or compensation.

You grant Coral a perpetual, worldwide, royalty-free licence to use such feedback to improve its products, services, software, systems and business operations.

39. Disclaimers

To the maximum extent permitted by law, Coral makes no representation or warranty that:

  • the Website will always be available;
  • the Website will be uninterrupted or error-free;
  • information published on the Website is free from inaccuracies;
  • products are suitable for every intended application;
  • products will be compatible with every third-party product;
  • products will achieve a particular outcome unless expressly confirmed in writing.

Product descriptions, technical data sheets, colour charts, compatibility guides and recommendations are provided in good faith and are believed to be accurate at the time of publication.

However, customers are solely responsible for determining whether a product is suitable for their intended application.

Where samples are available, Coral strongly recommends testing products before full-scale production or installation.

40. Technical Advice

Any technical advice, recommendations or guidance provided by Coral, whether verbally, in writing, electronically or through our Website, is provided in good faith based on information available at the time.

As Coral cannot control:

  • application methods;
  • environmental conditions;
  • storage conditions;
  • installation techniques;
  • substrate preparation;
  • third-party products; or
  • customer workmanship,

all recommendations should be independently verified by the Customer.

Except where required by law, Coral accepts no responsibility for losses arising from reliance upon technical advice.

41. Product Suitability

The Customer is solely responsible for determining whether Goods are suitable for:

  • their intended purpose;
  • compatibility with existing systems;
  • applicable standards;
  • building codes;
  • engineering requirements;
  • fire regulations;
  • workplace safety requirements; and
  • any other regulatory obligation.

42. Limitation of Liability

To the maximum extent permitted by law, Coral's total aggregate liability arising from any claim relating to the supply of Goods or Services is limited to the amount paid by the Customer for the Goods or Services giving rise to that claim.

Where permitted by the Australian Consumer Law, Coral may elect to:

  • repair the Goods;
  • replace the Goods;
  • resupply the Services;
  • pay the cost of repair;
  • pay the cost of replacement; or
  • refund the purchase price.

43. Exclusion of Consequential Loss

To the fullest extent permitted by law, Coral shall not be liable for any indirect, incidental, special, exemplary or consequential loss including, without limitation:

  • loss of profits;
  • loss of revenue;
  • loss of contracts;
  • business interruption;
  • production delays;
  • project delays;
  • loss of goodwill;
  • loss of opportunity;
  • loss of anticipated savings;
  • increased operating costs;
  • reputational damage;
  • loss of data;
  • loss of business;
  • penalties imposed by third parties; or
  • any similar economic loss,

whether arising in contract, tort, negligence, statute or otherwise.

44. Maximum Liability

Where liability cannot lawfully be excluded, Coral's liability is limited to the greatest extent permitted under applicable law.

Nothing in these Terms excludes liability which cannot legally be excluded under the Australian Consumer Law.

45. Customer Indemnity

The Customer indemnifies and holds harmless Coral, its directors, officers, employees, contractors, agents and related entities from any loss, claim, liability, damage, expense or cost (including legal costs on a full indemnity basis) arising from:

  • misuse of the Goods;
  • incorrect installation;
  • failure to follow instructions;
  • customer-supplied artwork;
  • intellectual property infringement arising from customer materials;
  • breach of these Terms;
  • negligent or unlawful conduct of the Customer;
  • unauthorised resale;
  • modification of Goods after supply;
  • incorrect product selection by the Customer; or
  • any claim brought against Coral arising from the Customer's acts or omissions.

46. Force Majeure

Coral shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

  • natural disasters;
  • fire;
  • flood;
  • storms;
  • pandemics;
  • epidemics;
  • acts of government;
  • changes in law;
  • industrial disputes;
  • shortages of labour;
  • shortages of raw materials;
  • supplier failures;
  • transport disruptions;
  • cyber attacks;
  • telecommunications failures;
  • power outages;
  • war;
  • terrorism; or
  • any other event beyond our reasonable control.

During a Force Majeure event, Coral's obligations are suspended for the duration of the event.

47. Suspension of Supply

Coral may immediately suspend the supply of Goods or Services where:

  • invoices become overdue;
  • a Customer breaches these Terms;
  • insolvency is suspected;
  • fraud is suspected;
  • required information has not been provided;
  • compliance concerns arise; or
  • Coral reasonably believes continuing supply may expose it to legal or commercial risk.

48. Termination

Coral may terminate these Terms or cease supplying Goods or Services immediately by written notice where:

  • the Customer commits a material breach;
  • payment defaults occur;
  • insolvency events occur;
  • fraudulent conduct is suspected;
  • the Customer repeatedly breaches these Terms.

Termination does not affect any accrued rights of either party.

49. Assignment

The Customer may not assign, novate or transfer any rights or obligations under these Terms without Coral's prior written consent.

Coral may assign or transfer its rights and obligations at any time.

50. Waiver

Failure by Coral to exercise any right under these Terms does not constitute a waiver of that right.

Any waiver must be in writing and signed by an authorised representative of Coral.

51. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions continue in full force and effect.

The invalid provision shall be read down to the extent necessary to make it enforceable.

52. Entire Agreement

These Terms, together with Coral's:

  • Privacy Policy;
  • Returns & Refund Policy;
  • Shipping Policy;
  • quotations;
  • invoices; and
  • any written agreements expressly incorporated,

constitute the entire agreement between the parties and supersede all prior discussions, negotiations, understandings and representations.

53. Amendments

Coral may amend these Terms from time to time.

Updated Terms become effective immediately upon publication on the Website unless otherwise stated.

Continued use of the Website or continued dealings with Coral constitutes acceptance of the updated Terms.

54. Electronic Communications

The Customer agrees that Coral may communicate electronically, including by:

  • email;
  • SMS;
  • online portals;
  • electronic invoices;
  • electronic quotations; and
  • electronic approvals.

Electronic records are deemed to satisfy any legal requirement for written communication to the extent permitted by law.

55. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia.

The parties irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia in relation to any dispute arising from these Terms or the supply of Goods or Services.
